1. About These Terms

These Terms & Conditions ("Terms") govern your access to and use of the website, tools, and services provided by OOH Philippines ("OOHPhilippines.com", "we", "us", "our", the "Platform"). They apply to all visitors and users, including advertisers, agencies, media planners, and billboard operators. Your use of the Platform is also subject to our Privacy Policy.

2. The Service

OOHPhilippines.com is an online platform that helps users discover, compare, and connect regarding out-of-home (OOH) advertising inventory in the Philippines, along with supporting tools such as search, an ROI calculator, an AI Planner, ad-standards guidance, and proof-of-posting verification. The Platform facilitates connections between parties; it is not a party to, and is not responsible for, any transaction, agreement, or booking made between users.

3. Accounts

• Some features require a free account. You agree to provide accurate, current, and complete information and to keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must use a genuine email address. Disposable or temporary email addresses may be blocked.
• You must notify us promptly of any unauthorized use of your account.
• We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being misused.

4. Free Credits and Tools

Certain tools operate on a free credit allowance. Credits have no cash value, are non-transferable, and are not refundable. We may change credit allowances, limits, pricing, or the availability of any tool at any time. Results produced by our tools — including the ROI calculator and AI Planner — are estimates and informational aids only, and should not be relied upon as professional, financial, or legal advice.

5. Listings and User Content

If you submit content — including billboard listings, site details, pricing, images, PDFs, or videos ("User Content") — you represent that:

• You own the content or have the right to submit it;
• The information is accurate and not misleading;
• The content does not infringe anyone's rights or violate any law.

You retain ownership of your User Content, but you grant OOHPhilippines.com a non-exclusive, worldwide, royalty-free license to host, display, and use it for the purpose of operating and promoting the Platform. We may remove any content at our discretion, particularly if it appears inaccurate, unlawful, or in breach of these Terms.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose;
• Post false, misleading, or deceptive listings or information;
• Scrape, harvest, or bulk-collect data from the Platform without our written permission;
• Attempt to gain unauthorized access to the Platform, its accounts, or its systems;
• Interfere with or disrupt the Platform, or introduce malware or harmful code;
• Infringe the intellectual property or privacy rights of others;
• Impersonate any person or misrepresent your affiliation with any entity.

7. Verification Tools

OOH Verify and similar features are proof-of-posting and guidance concepts. They provide records and assessments for informational purposes and do not constitute official certification. The ASC Clearance Assistant provides guidance only and does not issue clearances — the Advertising Standards Council (ASC) makes all official decisions. You should not rely solely on these tools for compliance, legal, or contractual purposes.

8. Accuracy and Third Parties

Listings, pricing, availability, and contact details are provided by operators and other users, and may not always be accurate or current. We do not independently verify all listings and make no guarantee about them. Any dealings you have with third parties found through the Platform — including operators and advertisers — are solely between you and that third party. The Platform may contain links to, or rely on, third-party services (such as Google Maps, Google Analytics, Google AdSense, and our hosting providers), which are governed by their own terms and policies.

9. Intellectual Property

The Platform, including its design, text, graphics, logos, and software, is owned by or licensed to OOHPhilippines.com and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the Platform without our prior written permission, except for your own lawful use of the service.

10. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any information on it is accurate or complete.

11. Limitation of Liability

To the fullest extent permitted by law, OOHPhilippines.com and its founders, operators, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Platform, any transaction with a third party, or any reliance on information or tools provided through the Platform.

12. Indemnity

You agree to indemnify and hold harmless OOHPhilippines.com from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your User Content, or your breach of these Terms.

13. Changes to the Platform and Terms

We may modify, suspend, or discontinue any part of the Platform at any time. We may also update these Terms from time to time; when we do, we will revise the "Last updated" date above. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the appropriate courts of the Philippines.
